StayPut Equipment Rental Agreement

1. Equipment

StayPut agrees to rent to you the hubs, door sensors, and accessories listed on the packing slip that ships with your kit, together with any additional units StayPut later ships to you for this trip (together, the "Equipment"). The packing slip records each unit by serial number and is incorporated into this Agreement.

Your reservation for this trip is currently 1 hub and 10 door sensors ([Frequency]). If the packing slip differs from this reservation, the packing slip controls.

2. Rental Term and Return Date

The rental term begins when the Equipment ships and ends when StayPut receives it back. You must hand the return package to the carrier no later than [Handoff date] (4 days after the trip ends), and StayPut must receive it on or before [Due date] (the "Due Date"). StayPut will email you a reminder before the Due Date.

3. Fees

Any rental fees are set out separately in your StayPut quote or invoice and are not part of this Agreement. This Agreement governs your responsibility for the Equipment itself.

4. Shipping and Return

StayPut pays outbound shipping and provides a prepaid return label in the box. You are responsible for packing the Equipment in its original packaging, applying the provided return label, and handing the package to the carrier by the date in Section 2. If the return label is lost, contact us before shipping; if you ship without our label, you are responsible for the return shipping cost. Risk of loss passes to you on delivery and returns to StayPut when the carrier scans the return package.

5. Late Return

If the Equipment is not handed to the carrier by the date in Section 2, you agree to pay a late fee of $10 per day per kit for each day of delay, up to the replacement value in Section 6. If StayPut has not received the Equipment within 14 days after the Due Date, StayPut may treat it as lost and charge the replacement fees in Section 6 in addition to accrued late fees.

6. Loss and Damage

You are responsible for the Equipment from delivery until return. For any unit that is lost, stolen, or returned damaged beyond normal wear (including water damage, cracked housings, missing components, or mounts removed in a way that damages the sensor), you agree to pay a replacement fee equal to StayPut's then-current purchase price for that item (currently [current hub price] per hub and [current sensor price] per door sensor, plus applicable tax). Normal wear, depleted batteries, and used adhesives are not chargeable.

StayPut will inspect returned Equipment within 2 business days and invoice any charges with an itemized list; you may dispute a finding in writing within 7 days. StayPut may waive any charge at its discretion.

7. Use and Care

You agree to: (a) use the Equipment only for monitoring the trip named above; (b) follow StayPut's setup and removal instructions; (c) not open, modify, or attempt to repair the Equipment; (d) not remove or obscure serial labels; (e) not sell, lend, sublease, or give the Equipment to anyone else; and (f) promptly notify StayPut of any loss, theft, or damage. You will obtain any hotel or venue permission needed to mount sensors.

8. Ownership

The Equipment is and remains the property of StayPut. This Agreement is a rental, not a sale. You acquire no title, lien, or ownership interest, and you will keep the Equipment free of any liens or claims.

9. Cancellation

You may cancel before the Equipment ships by emailing [email protected]. If StayPut cannot fulfill the rental, we will notify you; any refund of rental fees is handled under the Terms of Sale, and that refund is your sole remedy for non-fulfillment. After shipment, Sections 5 and 6 apply only to units actually returned late, lost, or damaged.

10. Monitoring Service; Disclaimer

Monitoring service for the trip is provided under the StayPut Terms of Service (stayputsecurity.com/legal/terms-of-service), which are incorporated by reference. StayPut provides door-activity notifications as an aid to chaperones; IT IS NOT A SECURITY, ALARM-MONITORING, OR EMERGENCY-RESPONSE SERVICE AND DOES NOT REPLACE ADULT SUPERVISION.

THE EQUIPMENT IS PROVIDED "AS IS" FOR THE RENTAL TERM. Except as stated in the Terms of Service, StayPut disclaims all warranties, express or implied, and StayPut's total liability under this Agreement will not exceed the amounts you paid StayPut for this trip.

11. Indemnity

You will indemnify StayPut against third-party claims arising from your use of the Equipment in violation of this Agreement or applicable law, including claims by a hotel or venue for installation damage.

12. Authority

If you sign on behalf of a school, district, or organization, you represent that you are authorized to bind it, and "you" includes that organization. Payment by purchase order does not modify these terms unless StayPut agrees in writing.

13. General

This Agreement, together with the Terms of Service and Terms of Sale, is the entire agreement for this rental. It is governed by the laws of the State of Oklahoma, and the venue and dispute-resolution provisions of the Terms of Service apply. If any provision is unenforceable, the rest remains in effect. StayPut may assign this Agreement; you may not.

14. Electronic Signature

You agree that this Agreement may be signed electronically and that your electronic signature, together with the signature certificate StayPut records (name, email, IP address, and timestamp), is the legal equivalent of a handwritten signature under the U.S. ESIGN Act and applicable state law.
